Corporate Structure & Governance

The Village at Duxbury is a registered, for profit, cooperative corporation. The buildings, grounds, intellectual property and all other assets are owned by the shareholders of the corporation. Each residential unit of the community is associated with one share in the corporation (205 shares). The Community is governed by a Board of Directors. The Board has retained a local management Company, Welch Senior Living, to manage the community since its inception.

The Board of Directors

The Board is comprised of eleven people, all of whom serve staggered, three-year terms. All are shareholders of the Cooperative Corporation; eight members are residents and three are members of Welch Senior Living. The Board defines the mission of the community, establishes key policies, oversees the fiscal affairs of the corporation, and hires and retains the services of the management company.

Paul T. Casale, Sr.

Mr. Casale is a resident of Duxbury and has been a Director and the Vice President and Treasurer of The Village at Duxbury Homeowners Cooperative Corporation since 1994.  He has been responsible for the financial management of the business and the development of new facilities for Welch since 1976.  He is also responsible for the management of all Welch Senior Living Communities.  Prior to that time Mr. Casale was Administrator of the John Scott House since 1970.  Mr. Casale is a Director and former Vice President of the Massachusetts Federation of Nursing Homes and is a former Director of the Health Planning Council for Greater Boston, Inc.  He holds an M.B.A. degree. 

Richard M. Welch

Welch Senior Living member of the Board

Mr. Welch is a resident of Braintree and has been the President and a Director of The Village at Duxbury Homeowners Cooperative Corporation since 1994.  He served as Administrator of the 209 bed Colonial Nursing and Rehabilitation from 1966–2001.  Mr. Welch is a former Board member of the Rice Eventide Home, Quincy and a Board member of the Maria Doste Services Counseling Agency in Quincy.  Mr. Welch is a past Chapter President of the Massachusetts Extended Care Federation; past Board member of the Massachusetts Extended Care Federation; Founding President of the Friends of Nursing, University of Massachusetts, Boston Campus; Founding President of the Hospice of the South Shore; past Director of the Homemakers of the South Shore and past Director of Visiting Nurses of the South Shore.  Mr. Welch holds a B.A. in English Literature and an M.Ed. in Rehabilitation Administration.

Robert E. Tuffy

Mr. Tuffy is a resident of Hanover.  Formerly a Certified Public Accountant, his experience includes public accounting, investment, and mortgage banking, and he is currently a principal in several investment firms, whose investments include senior housing and health care projects.  Currently, Mr. Tuffy is a part owner of the Willows at Westborough, a full-service retirement housing community which opened in 1987.  Mr. Tuffy holds a B.S. with honors in Business Administration.  Mr. Tuffy is a Director of and a Vice President of the General Partner.

Frank S. Dickerson III
Resident Board member

Mr. Dickerson is a retired management, financial, and legal executive. He was Senior Vice President and Chief Financial Officer of Mapco, Inc. from 1987-1995. Prior to his Mapco employment, Mr. Dickerson was Vice President and Treasurer of Bethlehem Steel Corporation, which he joined in 1973 after practicing law as an associate at Cravath, Swaine & Moore in New York City. Mr. Dickerson was a member of the Board of Governors of the American Red Cross from 1989 to 1995, serving on its Executive, Audit, Chapter Relations, and Finance Committees. He chaired the Audit Committee for three years and the Finance Committee for two years. Mr. Dickerson received his Bachelor of Arts from Amherst College in 1962, and his Juris Doctor from the University of Michigan Law School in 1966. He also attended the Advanced Management Program at the Harvard University Business School in 1984. He and his wife Lynda moved to The Village at Duxbury in 2011 and he has been a Board member since 2016.

John Emler
Resident Board member

Mr. Emler spent much of his career in various management positions at IBM in technical support, product management, corporate strategic planning and as the IBM Fellow at the Harvard Business School. Following his retirement from IBM, he was Vice President of customer support and computer operations for a software startup and then Vice President of Knowledge Systems for a small applied science technology company. Mr. Emler then ran his own business providing management development seminars to large corporations. Mr. Emler and his late wife Sandy moved to The Village at Duxbury in 2015, and since then he has been an active member of the Board of Directors, the Capital Planning Committee, the Health and Wellness Committee as well as the Financial and Technology working groups of the Board. Mr. Emler has also been involved with the Rotary Club in Hingham and has been a volunteer at South Shore Hospital where he served as Chair of the Patient and Family Advisory Counsel.

Janice Birdsall
Resident Board member

Mrs. Birdsall moved to The Village with her late husband Neale in 2014, where she has been involved with the Welcoming Committee as a co-chair. She is currently a member of the Food Committee and the Health and Wellness Advisory Committee. Mrs. Birdsall graduated from Centenary Junior College and then went to work in the Public Relations Department of Western Electric in New York City. She has also worked in the Trust Department of Plainfield  (NJ) Trust Company and in Administration and Development at Tobey Hospital in Wareham, MA. Mrs. Birdsall is an active member of the Board of Directors

Al Caldwell
Resident Board member

Mr. Caldwell moved to The Village along with his wife Joan in 2015 and joined the Board in 2018. He graduated from Michigan State University in 1954 with a BS in Mechanical Engineering. Mr. Caldwell then went on to work at Talon, Division of Textron, Inc. where he went from machine designer to President of the division. He then worked at Vermont Castings as Vice President Engineering and then to BA Ballou and Company becoming the President of the family-owned jewelry manufacturer. Mr. Caldwell has served on the Welcoming Committee and the Budget and Finance Committee.

Betty Bingham
Resident Board member

Mrs. Bingham moved to The Village at Duxbury along with her late husband Bing in 2015 and joined the Board in 2018.  After she graduated from Wellesley College, she went on to work as an Editorial Assistant for the San Francisco Chronicle. Mrs. Bingham worked as a Researcher for Sports Illustrated, a coordinator at Community Outreach at Queensboro Community College, Bayside, NY and was the Director, Founder of the North Shore Business Forum, Port Washington, NY.

Susan Kadar
Resident Board member

Ms. Kadar moved to The Village in late 2012 and has been on the Board since 2020. From 1967-1996 she held various research and administrative positions and was planner of major oceanographic expeditions at the Woods Hole Oceanographic Institution. Ms. Kadar has served (and chaired) numerous town boards and committees and was elected as Town Moderator in Truro, MA. She was a member of the Electronic Voting Committee of the Town of Duxbury from 2013-2014. Ms. Kadar is an active Board member and was previously on the Board from 2014 to 2017. She has been a member of the Budget & Finance Committee, Capital Planning Committee, Financial Working Group and has participated in numerous other activities. Ms. Kadar is a graduate of Vassar College.

Joan Pisarra
Resident Board member

Mrs. Pisarra moved to The Village at Duxbury in 2015 and joined the Board in 2019. She graduated from the University of Toronto and earned a master’s degree from St. John’s University. Mrs. Pisarra taught high school at Eastchester High School, Team Leader for Secondary School. She was a member of the Board of Directors of Bronxville, Eastchester, Tuckahoe National Credit Union, Vice President of Bronxville Senior Citizens Organization. She has been a member of the Welcoming Committee, House Committee, Chairperson of Library Committee, Corresponding Secretary of Residents Association at The Village.

Mary Ann Jasienowski
Resident Board member

Ms. Jasienowski moved to The Village at Duxbury in 2017 and has been a Board member since 2019. She worked as administrative assistant to the Executive Officer of the Greater Boston Board of Realtors. Ms. Jasienowski worked as an independent contractor for small non-profit, real estate related organizations. She has participated as a committee or Board member, chairman, volunteer or fund-raiser for several groups including Harbor House Children’s Shelter, Hospice House Tour, Adult Day Care, and End 68 Hours of Hunger.
